INSTRUCTIONS
Format:
Document required to be sent to the Registrar pursuant to the Act must
conform with regulations 6 to 10 of the Regulations under the Act. Where
any provision required to be set out is too long to be set out in the
space provided in the form, the form may incorporate the provisions by
annexing a schedule in the manner described in regulation 10 of the
Regulations.
Item 1:
Set out proposed name that complies with sections 11 and 12 of the Act and
with regulation 2 of the Regulations.
Item 2:
Set out the purpose, business or undertaking for which the Society is
formed.
Item 3:
The Society must be formed for a fixed stated period which cannot exceed
50 years in accordance with paragraph (c) of subsection (1) of section 6
of the Act.
Items 4 and 5:
Set out the Society’s registered office and the name address of the
society’s agent in Barbados.
Item 6:
Set out the details required by the section 17(2) of the Act. All quotas
must be without nominal or par value and must comply with Part III of the
Act.
Item 7:
Any restrictions placed on the right to transfer quotas of the society
must be set out in a statement to this effect, along with the restrictions
placed on the transferee in accordance with subsection (5) of section 14
of the Act.
Item 8:
If restrictions are to be placed on the business the society may carry on,
they must be set out.
Item 9:
Any provision that is to form part of the Articles may be set out if the
provision is permitted by the Act or regulations to be set out in the
by-laws of the society or in a unanimous agreement of all quota holders.
Item 10:
Each signatory must state his name, residential address and affix his
signature. If a signatory is a company or another society, the address
shall be that of the company or society, the address shall be that of the
company or society, and the articles shall be signed by a person
authorised by the company or society.
Other Information:
Completed documents in duplicate and the prescribed fee are to be
deposited at the office of the Registrar.
